The improvement will generate more than 105 percent power output with solar panels for very little additional cost using the innovation in comparison to similar solar panels not using the innovation. A major benefit of the innovation is the reduced obstacles to production and customer acceptance. There were patents granted in its older products. However, the newest innovations have patent pending. It can take a year or more ( sometimes up to 5 years) tp receive a patent. On the newest technology which is generally the tech that is relied upon, a provisional patent is filed. That is good for a year. Then it gets more expensive and a full patent is filed. At some point, it is granted and those fee start to file. In many cases, several provisional patents are filed and then grouped into a full patent within a year.

The stock spit is the only one that they had in its twenty year history. They want to avoid the tax impact using a reverse split since there is a 0.1 cent tax on any increase in authorized stock.They are heavily taxed on their authorized share as a Massachusetts company and any stock offering cannot be a normal size dollar amount since the authorized excise tax is a burden. It is too much of a hurdle to convert to a Delaware Corporation. The key thing here is that the Company does not do the massive dilution of toxic debt which plagues many companies that have reverse splits. This Company never had toxic ( convertible at discount of market price ) debt. That is very important.

The company never had a reverse split in its history. However, they have no choice since the excise tax on authorized stock is hurting the company as the reverse stock split eliminated it. Most reverse stock splits in OTC Markets are either related to toxic debt or NASDAQ listing requirement which naturally have a problem. Mass Megawatts has neither of these problems.

Agreed. For a company with a supposed low AS and low float, why in the hell are they doing an RS??? Not to mention my beef about no damn revenues reported, yet we see PR after PR about offering lower prices for their solar services. Why pay for a PR to advertise lowest cost service, they need to be approaching end users and large scale contractors, that's who MMMW needs to be in front of with a sales pitch. Sales pitch through PR is just missing the mark and sends a signal that this group is not capable of striking a deal. I hope they prove me wrong but this RS proposal is not good when considering all of these facts.

On 2/26/2024 I voted NO on the MMMW proposed reverse stock split. Why RS when the AS and float are supposedly so low already? Makes no sense to me.

The reply due date for the RS proxy is 3/25/2024 so I suppose we don't find out if this was approved by shareholders until April or shortly thereafter.

To amend our Restated Certificate of Incorporation, as amended, to effect a reverse stock split of our Common Stock at a reverse stock split ratio ranging from 1:2 to 1:100, and to authorize the Company's board of directors to determine the timing of the amendment at its discretion at any time, if at all, but in any case prior to the one-year anniversary of the date on which the Reverse Stock Split is approved by the Company's stockholders at the Special Meeting and the specific ratio of the reverse stock split (the "Reverse Stock Split Proposal").

Some people claim that Mass Megawatts $MMMW would be a 20 cent a share stock once it starts revenue. I sort of believe them since Mass Megawatts reached 47 cents three years ago when it was not a reporting company. Great patent pending products, no toxic debt and low float.
