The Company has executed a new lease on the 2nd largest bottled water plant near Honolulu HI

HONOLULU, Feb. 25, 2025 /PRNewswire/ -- Eco-Growth Strategies, Inc (OTC PINK:ECGS), a premier bottler of purified and spring water, announced today that it has acquired the assets of Hawaiian Isles Water (HIW) based in Aiea, HI. HIW is a 29-year-old brand providing purified bottled water throughout the islands. The assets acquired are all of the branding/IP, bottling equipment, and raw materials inventory. The company has valued these assets at approximately $6M USD. The bottling plant is leased through 2035 from the Lessors.

HIW was on a run rate in FY '2023 of approximately $15M with adjusted Net Income of approximately $2M. The Company (ECGS) has invested approximately $1.2M in retrofitting the plant, including new electrical, lighting, office remodeling, and HVAC repairs. The plant is the second largest bottled water plant in the Hawaiian Islands. It is approximately 55,000 square feet with the capacity of generating $100M through additional equipment installations.

Lewis Cohen, President of ECGS, stated "We are extremely pleased with this acquisition. We intend to maintain the existing customers and expand the customer base with new co-branding/bottling opportunities. The company expects to renew its two existing co-bottling agreements and expects to add two more by the third quarter. The new agreements are expected to add approximately $30M in additional revenue and $7M in net income."

William (Bill) Delgado, CEO of ECGS, added "Our management team, made up of snack food/beverage professionals with an average industry experience of 30+ years each, are excited to re-vitalize this 29-year-old brand. We fully intend to expand within the islands and a major expansion into China, Philippines, South Korea, and Japan by the end of the year. We also have additional acquisitions that will be announced in the coming weeks".

I'm watching, new to commenting here. Nice gain boys! I don't have a boatload of shares on this one, but I have cheap ones. Let's hope Bill builds back his credibility he lost with GDSI and SHMP.

Yep.  Once cheated twice shy.  I don't blame them, they took a massive hit.  I just had. Little but still not happy how it went down.  Such is investing.  

I ran some numbers last year on this water company.  It really was mismanaged.  Lots of profits to be made.

Fine with me that its quiet on this board, but we do have buyers....FYI, I went on the Facebook SHMP group, the very loyal SHMP shareholers, who have lost a lot and are really frustrated. I alerted them of ECGS so they can earn some money and finally feel good....I did get some replies and the moderator says no pumping of stocks....I told him it's not a pump, but just an alert .04....well, I believe, they are kicking themselves by now....I tried for them. I know how ECGS trades when it gets going....which it is.

Yeah kinda quiet.  Nice close today, up another 55%.  From .02 to .35 in 8 days and no one is watching.

Things are looking good. Expect to see some solid news in the next week or two.  Short week next week so this long weekend will give it some time to make the rounds.  Needs a little more interest.  

Contacts in HI say there was activity recently around the old bottling plant.  They said it looked like building mInanence and some workers inside they could hear.  

Bill is getting our filings all up to date and I see he got 1stQ 10Q in and on time so I can't help but suspect that restarting the bottling company is more than just a rumor. Obviously some one is suspecting the same with all the action we have seen this past few days. 

My research on the former owners of the bottling company indicate it was profitable but severely mismanaged.  They tried to keep two other failed companies afloat off the profits from bottling, ultimately sinking all three. 

The last full year of production numbers I could find in their bankruptcy filings showed between 15m and 18m a year in revenue and profits between 1.2m and 4.3m in some earlier filings. I have not been able to confirm any of this via other sources and most of that information is no longer available.  Hard to tell what the numbers would show in todays markets.  Most of what I found was prior to 2019.  

Also encouraging is that for the last 18months we had with no filings, the share structure has remained basically the same, 38m to 44m OS.  That's a pretty good indicator that they are not just cranking out shares.  AS still 100m.  OS 44.5m float is around 12.5m. Here is the great part.  Of the 44.5m OS.  23m is restricted.  Basically there are only 21m shares available for trade very small float for an OTC company that has not resorted to a reverse split.

Have you seen Yahoo stats for ECGS $10.8 Revenue, 2.5m GP and a book value of .25....when was the last time we've seen something like this for one of Bill Delgado"s companies....so nice to see....I think our pps will be moving in the .20+ range very soon if not by the end of next week and after that .30-.40+ will come very quick....I did some research from the last run in 9/23 - 12/23 and the .40+ range showed up after only three trading sessions in the .20's and that .40+ range lasted for well over a month

Yes, volume picking up....I do like what I see with Hawaiian Isle Water....I think we may be surprised with pps this year if they can get the water company back in operation.

I'm hoping the water deal gets moving and we get some news soon.  Seems something is happening with the new interest.  

I agree....seeing more volume. I couldn't resist .025 then I'm hoping for the run we had up to .52 in October 2023

Filings in, confirmation of the acquisition of the water company assets Hawaiin Isles last year, little to no change in share structure. Things should start moving forward shortly.

From what I could find, the most likely merger candidate is a privately held company with very little public information concerning revenue.  No idea if there has ever been anything I writing.  Could just be a rumor for all I know.  

Is the artisian company the one that has been not been merged yet because they are seeking capital? Do you know how much revenue they are doing? Has a contract been signed yet or is it waiting for the capital?

One is a bottling company that does several different brands.  The other is an artisian water company that only does their brand and they own their own natural spring.  Basically a premium water company and an Aqua Fina ( tap water) 

Just curious why two water companies....I guess two different revenue sources.

I might toss some more in if it gets into the 2s, I think they are trying to put together the funds to bring the other water company in plus enough cash on hand to cover expenses, to restart bottling operations. No reason to spend the money to upgrade then let it sit there and rot away. 

I'm hoping that with the new administration nationally, we may see lending and investing open back up.  This has been a horrible run for startups.  Interest rates are prohibative. 

I heared the plant we purchased out of bankruptcy was upgraded and brought back up to code.  

Have a few connections in the area and they confirmed that there were workers at the plant for the first few months of this year, but not much activity since then.  I would guess that was when the upgrades were completed.  Would be nice to see something official in some filings.  Dont really make much sense to hold everything back.  

No one is going to care what you did 18 months ago when you announce you are in production and have contracts.  LOL

Are you going to buy at these levels? I will take .05....being that December is coming we may see more tax loss orders meaning good pricing if your a buyer. I will buy more if it dips below .05 and load up if we see .03

So when the time happens do you think we can get back to the .50+ range? Two years ago I sold as high as .75 and last year as high as .49 and lots in the .30's

What do you know about what needs to be done? I know they purchased that defunct water compamy, but I think they have another one they were negotiating with that needs capital so I believe that's the issue, I think we are talking about $20m in revenue? Is that right?

It has some work to do. Disappointed it’s taking this long, but some things just take time.

Well, they filled my buy order at .05....I hope we get another run.
