Explanation of Responses:
(1)	Each restricted stock unit which vested at the 2020 annual meeting of the Company's stockholders is to be transferred pursuant to a share transfer agreement to FFL Partners, LLC ("FFL Partners"), who is the beneficial owner of such units.
(2)	Each restricted stock unit represents a contingent right to receive one share of the Issuer's Common Stock. The restricted stock units vest into shares of Common Stock at the 2021 annual meeting of the Company's stockholders, at which time such shares will be transferred to FFL Partners pursuant to a share transfer agreement.

Remarks: The Power of Attorney given by Ms. Winterhof was previously filed with the U.S. Securities & Exchange Commission on December 6, 2017, as an exhibit to a statement on Form 3 filed by Ms. Winterhof with respect to CURO Group Holdings Corp. and is hereby incorporated by reference.
