Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 9, 2021, James M. Moses, Senior Executive Vice President and Chief Financial Officer of Berkshire Hills Bancorp, Inc. (the “Company”) and its wholly-owned subsidiary, Berkshire Bank, submitted his resignation, effective as of the close of business on March 19, 2021.  Mr. Moses is resigning to accept another position in the financial services industry and has agreed to make himself available to assist in transitioning his duties.

The Company and Berkshire Bank have appointed Senior Vice President and Chief Accounting Officer Brett Brbovic, age 40, as Acting Chief Financial Officer, effective March 19, 2021, while actively searching for a new permanent CFO. Mr. Brbovic first joined the Company and Berkshire Bank in 2012 and has served as Chief Accounting Officer since 2015. There are no transactions requiring disclosure pursuant to Item 404 of Regulation S-K.
