Departure of Directors or Certain Officers;
Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 2, 2019, ABM Industries
Incorporated (the “Company”) issued a press release announcing certain shifts in the Company’s existing
senior management team. Effective October 1, 2019, Rene Jacobsen, President of the Company’s Business &
Industry Group since February 2016, was appointed Chief Facilities Services Officer. Mr. Jacobsen joined the Company in
2012 and served as Executive Vice President of ABM’s West Region from 2012 until February 2016. Also effective October
1, 2019, Scott Giacobbe, the Company’s Chief Operating Officer since November 2017, was appointed Chief Revenue
Officer. In their roles, Messrs. Giacobbe and Jacobsen will be acting as the Company’s co-principal operating
officers.
