Prospectus), related to (i) the issuance by us of up to an aggregate of 4,108,728 shares of common stock that are issuable upon the exercise of our publicly-traded warrants (the Public Warrants) and up to 375,000 shares
of common stock issuable upon exercise of our working capital warrants (the Working Capital Warrants and, together with the Public Warrants, the Warrants), (ii) the resale of up to 778,502 Public Warrants and 500,000 Working
Capital Warrants held by certain holders named in this prospectus (the Selling Warrantholders), (iii) the resale of up to 200,000 shares of common stock (the PIPE Shares) that currently are owned by certain selling
stockholders that entered into subscription agreements with Graf Industrial Corp (Graf) (such selling stockholders, the PIPE Investors), pursuant to which Graf agreed to issue and sell the PIPE Shares to the PIPE Investors in
