We are offering directly 2,307,500 shares of our common stock, no par value (“Common Stock”), and warrants to purchase up to 2,307,693 shares of Common Stock (the “Warrants”), to an institutional investor (the “Investor”). Each Warrant has an initial exercise price of $1.00 per share, which exercise price will be subject to adjustment on the first and second anniversaries of issuance if 110% of the 5-day volume weighted average price of the Company’s Common Stock is less than the then-current exercise price, and the Warrants will be exercisable for five years commencing upon the date of issuance. We are also offering pre-funded warrants to purchase up to 2,307,885 shares of Common Stock (the “Pre-funded Warrants”) to Investor, in lieu of shares of Common Stock that would otherwise result in Investor’s beneficial ownership exceeding 4.99% of our outstanding Common Stock. The Pre-funded Warrants will have an exercise price of $0.65 ($0.6499 of which will be pre-funded at the closing of this offering), and will be exercisable for a period of five years commencing upon the date of issuance. The combined purchase price of each share of Common Stock and one half of one Warrant is $0.65. The combined purchase price of each Pre-funded Warrant and one half of one Warrant is $0.6499 (equal to the combined purchase price per share of Common Stock and one half of one Warrant, minus $0.0001). We are also offering the shares of Common Stock that are issuable from time to time upon exercise of the Warrants and Pre-funded Warrants being offered by this prospectus supplement and the accompanying prospectus.

 

Our common stock is listed on the Nasdaq Capital Market (“Nasdaq”) under the symbol “RIBT.” On September 8, 2021, the closing price of our Common Stock on Nasdaq was $0.75 per share. There is no established trading market for the Warrants or Pre-funded Warrants, and we do not intend to list the Warrants or Pre-funded Warrants on any securities exchange or nationally recognized trading system.

 

The aggregate market value of our outstanding Common Stock held by non-affiliates was approximately $37,935,644 based upon the closing sale price of our Common Stock on July 13, 2021 of $1.10 per share. During the 12-calendar month period that ends on, and includes, the date of this prospectus supplement, we sold $2,433,380 of securities pursuant to General Instruction I.B.6. (excluding the securities to be sold pursuant to this prospectus supplement).

Overview

 

We are a specialty ingredient company that utilizes proprietary stabilization and separation technologies, supported by specialty milling processes, to deliver critical nutritional and functional ingredients derived from ancient grains for the food, nutraceutical, pet care and animal feed categories.

 

 

We are focused on milling rice and other small grains and producing, processing and marketing value-added healthy, natural and nutrient dense products derived from these grains. Notably, we are a market leader in North America in converting raw rice bran into stabilized rice bran (SRB) and high value derivative products including: RiBalance, a complete rice bran nutritional package derived from further processing of SRB;

 

 

RiSolubles, a highly nutritious, carbohydrate and lipid rich fraction of RiBalance;

 

 

RiFiber, a protein and fiber rich insoluble derivative of RiBalance; and

 

 

our family of ProRyza products, which includes derivatives composed of protein and protein/fiber blends.

 

Over the past decade, we have developed our products by optimizing our proprietary processes to support the production of healthy, natural, and non-genetically modified ingredients that are gluten free and free of all major allergens for use in baked goods, cereals, coatings, health foods, high-end animal nutrition, and animal health products. Our existing and target customers are food and animal nutrition manufacturers, wholesalers and retailers, both domestically and internationally.

Securities we are offering

 

2,307,500 shares of Common Stock and warrants to purchase 2,307,693 shares of Common Stock (the “Warrants”). The Warrants will have an initial exercise price of $1.00 per share, which exercise price will be subject to adjustment on the first and second anniversaries of issuance if 110% of the 5-day volume weighted average price of the Company’s Common Stock is less than the then-current exercise price, and will be exercisable for a period of five years commencing upon issuance. We are also offering pre-funded warrants to purchase up to 2,307,885 shares of Common Stock (the “Pre-funded Warrants”) in lieu of shares of Common Stock that would otherwise result in Investor’s beneficial ownership exceeding 4.99% of our outstanding Common Stock. The Pre-Funded warrants will have an exercise price of $0.65 ($0.6499 of which will be pre-funded at the closing of this offering) and will be exercisable for a period of five years commencing upon issuance. We are also offering the shares of Common Stock issuable upon exercise of the Warrants and the Pre-funded Warrants.

Use of Proceeds

 

We estimate the net proceeds to us from this offering will be approximately $2.8 million after deducting estimated offering expenses payable by us. We intend to use the net proceeds from the sale of the securities offered by this prospectus for general corporate purposes, which may including funding capital expenditures and working capital and repaying indebtedness.

 

   

Prohibitions on subsequent equity sales and variable rate transactions

 

Subject to certain exceptions, until 120 days after the closing date of this offering, we will be prohibited from issuing, entering into any agreement to issue or announcing the issuance or proposed issuance of any shares of Common Stock or securities convertible or exercisable into Common Stock, or filing, amending or supplementing a registration statement.

     

 

  Until 180 days after the closing date of this offering, we will be prohibited from making sales pursuant to that certain At Market Issuance Sales Agreement, dated as of March 30, 2020, between us and B. Riley FBR, Inc.

Until the second anniversary of the closing date of this offering, Investor will have the right to participate for up to 45% of the securities offered by the Company in future securities offerings, subject to certain exceptions.

DILUTION

 

If you invest in our common stock, you will experience dilution to the extent of the difference between the price per share you pay in this offering and the net tangible book value per share of our common stock immediately after this offering.

 

Our net tangible book value as of June 30, 2021 was approximately $18.3 million, or $0.40 per share of common stock. Net tangible book value per share is equal to our total tangible assets minus total liabilities, all divided by the number of shares of common stock outstanding as of June 30, 2021. After giving effect to the sale of shares of common stock by us in this offering at a price of $0.65 per share, our as adjusted net tangible book value would have been approximately $21.1 million, or approximately $0.44 per share of common stock, as of June 30, 2021. This represents an immediate increase in net tangible book value of approximately $0.04 per share to existing stockholders and an immediate dilution of approximately $0.21 per share to Investor. The exercise price per whole share of Common Stock purchasable upon exercise of the Warrants is $1.00, which exercise price will be subject to adjustment on the first and second anniversaries of issuance if 110% of the 5-day volume weighted average price of the Company’s Common Stock is less than the then-current exercise price. The exercise price per whole share of Common Stock purchasable upon exercise of the Pre-funded Warrants is $0.65 ($0.6499 of which will be pre-funded at the closing of this offering). The exercise prices for the Warrants and Pre-funded Warrants are subject to appropriate adjustment in the event of certain stock dividends and distributions, stock splits, stock combinations, reclassifications or similar events affecting our Common Stock.

As of June 27, 2019, we have outstanding restricted stock units (RSUs) covering a total of 1,347,062 shares of our common stock. The shares subject to the RSUs vest based upon a vesting price equal to the volume weighted average trading price of our common stock over sixty-five consecutive trading days. Subject to a minimum service period in certain grants, as described in the next sentence, the RSU shares vest as to (i) 134,706 shares on the date the vesting price equals or exceeds $5.00 per share (ii) 404,119 shares the date the vesting price equals or exceeds $10.00 per share and (ii) 808,237 shares the date the vesting price equals or exceeds $15.00 per share. Common Stock

Anti-Takeover Effects of Certain Provisions of our Articles of Incorporation, Bylaws and the CGCL

Undesignated Preferred Stock

 

As discussed above, our board of directors will have the ability to issue preferred stock with voting or other rights or preferences that could impede the success of any attempt to change control of us. These and other provisions may have the effect of deterring hostile takeovers or delaying changes in control or management of our company.

 

Shareholder Meetings

 

Our bylaws provide that a special meeting of shareholders may be called only by the President or by the board of directors or the Chairman of the Board or by one or more shareholders holding shares in the aggregate entitled to cast not less than 10% of the votes at that meeting.

 

Requirements for Advance Notification of Shareholder Nominations and Proposals

 

Our bylaws establish advance notice procedures with respect to shareholder proposals and the nomination of candidates for election as directors, other than nominations made by or at the direction of our board of directors or a committee of the board of directors.

 

Board of Directors Vacancies

 

Under our bylaws, any vacancy on the board of directors, including a vacancy resulting from an enlargement of the board of directors, may only be filled by vote of a majority of the remaining directors. Without cumulative voting, a minority shareholder may not be able to gain as many seats on our board of directors as the shareholder would be able to gain if cumulative voting were permitted.
