Item 8.01 Other Events.

On November 19, 2019, NETGEAR, Inc. (“NETGEAR”) issued a press release announcing the upcoming retirement of John McHugh, its Senior Vice President, SMB Products and Services, at the end of 2019. NETGEAR also announced that it plans to name Vikram Mehta as Mr. McHugh’s successor, effective as of January 2, 2020. The full text of this press release is furnished herewith as Exhibit 99.1.
