Item 5.02 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On August 23, 2022, the Board of Directors of Aviat Networks, Inc. (the "Company") amended and restated the Company’s Bylaws effective immediately, to eliminate the mandatory retirement age for directors as well as to add an exclusive forum selection provision so that, unless the Company consents in writing to the selection of an alternative forum, any (i) derivative action, (ii) fiduciary duty claim, (iii) action asserting a claim arising pursuant to any provision of the Delaware General Corporation Law (“DGCL”), the Certificate of Incorporation or the Bylaws or as to which the DGCL confers jurisdiction on the Court of Chancery of the State of Delaware or (iv) any action asserting a claim governed by the internal affairs doctrine of the law of the state of the State of Delaware, be exclusively brought in the Delaware Court of Chancery or, if such court does not have subject matter jurisdiction thereof, the federal district court of the State of Delaware.
