ITEM 7.01 REGULATION FD DISCLOSURE

 

On December 20, 2022, BitNile Holdings, Inc., a Delaware corporation (the “Company”) issued a press release announcing that the Company plans to merge its wholly owned subsidiary, Ault Alliance, Inc. (“AAI”), with and into the Company, whereby AAI will disappear, and the Company will change its name to Ault Alliance, Inc. The Company also announced that its ticker symbol will change to AULT. The effective date of the name and symbol change will be January 3, 2023.
