INFORMATION CONTAINED IN THIS REPORT ON FORM 6-K

On June 7, 2022, Global Blue Group Holding AG (the “Company”) held the previously announced extraordinary general meeting of shareholders and special meeting of holders of Series A Preferred Shares at the offices of Niederer Kraft Frey Ltd at Bahnhofstrasse 53, Zurich 8001, Switzerland.

Please refer to Exhibit 99.1 to this Form 6-K for the full slate of matters approved at the extraordinary general meeting and Exhibit 99.2 to this Form 6-K for the full slate of matters approved at the special meeting.

On June 8, 2022, the Company registered with the commercial register of the Canton of Zurich its amended Articles of Association reflecting the amendments thereto that were approved by the extraordinary general meeting and the special meeting.

A copy of the amended Articles of Association is furnished herewith as Exhibit 3.1 to this Form 6-K and incorporated herein by reference.

This report on Form 6-K and the exhibits hereto shall be deemed to be incorporated by reference in the registration statement on Form F-3 (No. 333-259200) of the Company and the prospectuses incorporated therein.
