Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 19, 2019, Anders Gustafsson informed the Board of Directors (the “Board”) of Dycom Industries, Inc. (the “Company”) of his intent to resign from the Board upon the conclusion of the Company’s 2020 Annual Meeting of Shareholders, which is expected to occur in May 2020. Mr. Gustafsson stated that his intent to resign from the Board does not result from any disagreement with the Company.
