(b) On January 1, 2019, Anne Martin-Vachon, President of EVINE Live Inc. (the “Company”), voluntarily resigned from her position as an officer and employee of the Company effective as of the same date.

(d) In connection with Ms. Martin-Vachon’s resignation, on January 1, 2019, the Company and Ms. Martin-Vachon entered into a Separation and Release Agreement, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K.
