Explanation of Responses:
(1)  The Reporting Person gave back to the Issuer the 100,000 shares of common stock previously granted to her on August 22, 2018 in connection with her initial appointment to the Board of Directors of the Issuer, and the Issuer has issued the Reporting Person, in exchange, options to acquire 100,000 shares of common stock pursuant to the Issuer's 2018 Stock Incentive Plan.
(2)  The shares were given back to the Issuer without payment.
(3)  The option was granted pursuant to the Issuer's 2018 Stock Incentive Plan.
