Explanation of Responses:

(1)

Represents a grant of restricted stock (the "RSA"). Of the shares reported, (a) 11,478 shares were granted in respect of the Reporting Person's services as a member of the Issuer's Board of Directors, and (b) 19,522 shares were granted in respect of the Reporting Person's services as Interim CEO and any related transition services. The RSA will vest as to 100% of the total shares on the day that immediately precedes the date of the Issuer's 2019 annual shareholders meeting, subject to the Reporting Person's continued service as a member of the Issuer's Board of Directors.
