Central Garden & Pet Prices Public Offering of Class A Common Stock

Central Garden & Pet Company (NASDAQ:CENT) (NASDAQ:CENTA)
(“Central”), announced today the pricing of an offering of
5,000,000 shares of Class A common stock at $37.00 per share. In
addition, Central has granted the underwriters a 30-day option to
purchase up to an additional 750,000 shares of Class A common stock
in the offering. The offering is expected to close on August 13,
2018, subject to customary closing conditions. Central intends to
use the net proceeds from the offering for general corporate
purposes, including funding potential acquisitions.

SunTrust Robinson Humphrey will serve as joint book-running
managers for the offering, and Barclays and KeyBanc Capital Markets
will serve as co-managers.
