Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 14, 2017, Brian D. Montgomery, a member of the Board of Directors of Radian Group Inc. (the “Company”), was nominated by President Trump to serve as Commissioner of the Federal Housing Administration (FHA). Mr. Montgomery’s appointment to this position is subject to ratification and confirmation by the U.S. Senate (the “Confirmation”). Also on September 14, 2017, Mr. Montgomery notified the Company that he intends to resign from the Company’s Board of Directors, effective upon his Confirmation.
