EXPLANATORY STATEMENT

Deregistration of Securities
    
On May 6, 2004, Vertro, Inc., a Delaware corporation (the “Company”), filed a Registration Statement on Form S-3 with the Securities and Exchange Commission (Registration No. 333-115245) (as amended, the “Registration Statement”) to register the sale of 1,200,000 shares (on a post-split basis) of the Company’s common stock, $0.005 par value per share (the “Common Stock”), as post-effectively amended by Amendment No. 1 filed on September 3, 2004, Amendment No. 2 filed on March 12, 2012 and Amendment No. 3 filed on March 15, 2012. The purpose of this Post-Effective Amendment No. 4 to Form S-3 Registration Statement is to withdraw and remove from registration all 1,200,000 (on a post-split basis) of the unissued and unsold shares of Common Stock previously registered under the Registration Statement.

On March 1, 2012, pursuant to the terms of the Agreement and Plan of Merger (“Merger Agreement”), dated October 16, 2011, by and among Vertro, Inc. (“Vertro”), Inuvo, Inc. (“Inuvo”), and Anhinga Merger Subsidiary, Inc. (“Merger Sub”), a wholly owned subsidiary of Inuvo, Merger Sub merged with and into Vertro, with Vertro surviving as a wholly owned subsidiary of Inuvo (the “Merger”).
    
As a result of the Merger, Vertro has terminated all offerings of its securities pursuant to its existing registration statements, including the Registration Statement. In accordance with the undertakings made by Vertro in the Registration Statement to remove from registration by means of a post-effective amendment all shares of Common Stock registered under the Registration Statement that remained unsold at the termination of such offering, Vertro hereby removes from registration 1,200,000 shares (on a post-split basis) of Common Stock registered under the Registration Statement which remain unsold. As a result of this deregistration, no securities remain registered for sale pursuant to the Registration Statement.
