On 29th January, 2004, options to purchase Ordinary Shares of 20p each in the
Company were granted to Directors of the Company in accordance with the
Company's Performance Related Share Option Incentive Scheme. These options ("the
Performance Related Share Options") are exercisable at a price of #0.41 per
share, and exercise is conditional on share price performance targets being met,
as follows:


* For the first 50% of the Performance Related Share Options granted to
each director, the average mid market closing price of the company's shares over
a 30 day period following the date of grant must be 40% higher than the exercise
price

* For the second 50% of the Performance Related Share Options granted to
each director, the average mid market closing price of the company's shares over
a 30 day period following the date of grant must be 60% higher than the exercise
price


Subject to the above conditions, the Performance Related Share Options are
exercisable for a period from one to ten years from the date of grant.


Performance Related Share Options were granted to Directors as follows:


JF Kenny - 350,000

P Kenny - 350,000

H Jenner-Clarke - 350,000

J Kenny - 200,000

M Hampton - 110,000


On the same date, the Directors of the Company surrendered options that had
previously been granted to them in accordance with the Company's Share Option
Incentive Scheme to purchase Ordinary Shares of 20p each in the Company at a
price of #0.765 per share, as follows:


JF Kenny - 350,000

P Kenny - 350,000

H Jenner-Clarke - 350,000

J Kenny - 200,000

M Hampton - 110,000
