                              DEALINGS BY DIRECTORS

Dori Media Group ("DMG" or "the Company"), the international media company
active in the field of television, with a focus on production, distribution,
broadcasting and merchandising of Telenovela, would like to disclose the
following share dealings by directors.

Mapal Communications Ltd. ("Mapal") and Miella Venture Partners Inc. ("Miella")
today acquired 3% of the shares of the Company, 2% and 1% respectively, from Mr.
Yair Dori, Vice Chairman of DMG. The share price for the transaction is 153p.
Mapal and Miella will receive a call option to purchase up to additional 5% of
DMG shares from Mr. Dori's at market price less 10% per share. The call option
will be valid for a period of ten (10) years. Following this deal, Mr. Dori is
also granting Mapal and Miella first refusal rights on his remaining shares.
Mapal and Miella will commit to purchase from Yair Dori and his family 141,000
shares resulting from their option exercise in the future at market price but no
more than 153p per share.

This current dealing takes Mapal's direct and indirect holding in DMG to
8,705,499 ordinary shares, or 37.85% of the issued share capital. Mapal's direct
holding in the Company amounts to 1,061,765 ordinary shares or 4.62% of share
capital. Miella's direct holding in DMG is now 4,594,435 ordinary shares, or
19.98% of share capital. Yair Dori's direct holding is 2,404,978 ordinary
shares, or 10.46% of the issued share capital.

Because of their interest in Mapal, Ms. Tamar Mozes Borovitz, Mr. Nadav Palti
now have an indirect interest of 5,120,882, 1,792,309 ordinary shares
respectively, or 22.26%, 7.79% of DMG's issued share capital respectively.
Because of his beneficiary interest in Miella Mr. Michele Arazi now has an
indirect interest of 4,594,435 ordinary shares or 19.98% of the Company's issued
share capital.
