Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers.

Olivier Chavy will cease serving as President, Panorama and Travel + Leisure Clubs with Travel + Leisure Co. (the “Company”), effective February 20, 2024. It is expected that Mr. Chavy will enter into a separation and release agreement with the Company providing for severance payments and benefits in connection with a “Qualifying Termination” consistent with the terms of his Letter Agreement, dated as of February 7, 2019.
