Set forth below is an e-mail sent on May 14, 2014 by Bill Meury, Executive Vice President, Sales and Marketing, to employees of Forest Laboratories, Inc.:

Dear colleagues:

As you know, this morning we announced the proposed management team for the combined company of Actavis and Forest, which will become effective at the close of the transaction. The team will bring together strong leaders from both sides who are engaged and enthusiastic about their new roles within the combined company.

I am very much looking forward to leading the branded commercial business for North America and working closely with all of you as well as with Tim Callahan, Actavis Senior Vice President, Brand Commercial Operations, to build blockbuster product franchises in key therapeutic categories and drive record growth for the combined company. Tim and I will collaborate on the design of the new organization and leadership team, which we expect to announce in the near future. The goal of this team will be to uphold the culture of commitment and performance common to both companies, and I am confident that together we will build a best-in-class commercial organization—one that is innovative and customer-focused.

This is an exciting time, and during this transition period, the management teams from both companies are committed to sharing information and decisions with you in a timely manner. You can expect to receive regular updates leading up to the close and in the weeks following. In the meantime, please continue the excellent work you’ve been doing to drive our brands and launches and serve our customers, both behind the scenes and on the front lines. Staying focused on our key priorities has never been more important, and I am thankful for your dedication.

If you have any questions, I encourage you to reach out to me or speak directly with your manager.

Thank you,

Bill Meury
