1. For estate planning purposes, Michael J. Murray and Karen A. Murray transferred 249,825 shares owned directly by them to a limited partnership controlled by them.

2. Following all transactions on this Form 4, Mr. Murray owns directly 33,769 shares of DHI common stock, indirectly beneficially owns 249,825 shares of DHI common stock and indirectly holds 29,057 shares of DHI common stock.
