Explanation of Responses:
( 1)  On November 3, 2011, Mr. Fast received 90,554 shares of Crane Co. stock from the Eric Fast 2011 GRAT No. 1, a grantor retained annuity trust for the benefit of his spouse and adult children, in exchange for cash.
( 2)  On November 4, 2011, Mr. contributed 90,554 shares of Crane Co. common stock to the Eric Fast 2011 GRAT No. 2, a grantor retained annuity trust for the benefit of his spouse and adult children.
( 3)  Between July 1, 2011 and September 30, 2011, Mr. Fast acquired an aggregate of 20 shares of common stock at prevailing market prices through the issuer's 401(K) plan.

Remarks:
After these transactions, Mr. Fast's total beneficial holdings of Crane Co. stock, including Restricted Share Units, are 571,957 shares.
