ITEM 2.02.    RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On August 3, 2022, the registrant issued a press release regarding, among other things, its financial results for the second quarter ended June 30, 2022. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.

ITEM 5.02.    DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On August 3, 2022, Werner Enterprises, Inc. (the “Company”) issued a press release announcing that John J. Steele, Executive Vice President, Treasurer and Chief Financial Officer, has decided to retire after 33 years at the Company, including the last 25 years as Chief Financial Officer, and that he will remain with the Company through the transition of his responsibilities to his successor. A copy of the press release is attached hereto as Exhibit 99.2.

The Company has launched a formal search for its next Chief Financial Officer. Mr. Steele will remain Executive Vice President, Treasurer and Chief Financial Officer during the search.
