5.02(b) – Victor Bray voluntarily resigned his position with Sonic Innovations, Inc. (the “ Company ”) as Vice President and Chief Audiology Officer, effective June 30, 2008.

5.02(e) – Victor Bray and the Company entered into an Agreement on June 30, 2008 in connection with his departure, pursuant to which, Victor Bray (i) will receive severance pay equal to his current gross base salary through February 28, 2009, (ii) will cease vesting in any stock option grants or restricted stock as of February 28, 2009, and (iii) agreed to not compete with the Company through February 28, 2010.
