Item 8.01 Other Events.

On May 7, 2024, Pieris Pharmaceuticals, Inc. (the "Company”) received a letter from The Nasdaq Stock Market ("Nasdaq") stating that for the last 10 consecutive business days, from April 23 to May 6, 2024, the closing bid price of the Company’s common stock has been at $1.00 per share or greater. Accordingly, the Company has regained compliance with Nasdaq Listing Rule 5550(a)(2) and this matter is now closed.
