Item 5.03.	AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR

	On April 15, 2020, the Board of Directors of Northwest Pipe Company (the “Company”) approved the Company’s First Amendment (the “Amendment”) to the Third Amended and Restated Bylaws, which reflects changes to facilitate the Company’s ability to hold shareholder meetings by remote communications as permitted under Oregon law. The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed herewith as Exhibit 3.1 and is incorporated herein by reference.
