Bull & Lifshitz, LLP announces an investigation into
possible breaches of fiduciary duty in connection with the proposed
acquisition of Microtune, Inc. (NASDAQ: TUNE) (referred to as
"Microtune" or the “Company”) by Zoran Corporation (referred to as
"Zoran") in a cash transaction with a value of approximately $166
million, or $84 million net of cash acquired.
Under the terms of the agreement, Zoran will pay $2.92 for each
share of Microtune’s common stock. The boards of both companies
approved the transaction. The deal requires the approvals of
Microtune shareholders and regulators.
