Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

MDC Partners Inc. (the “Company”) and Seth Gardner mutually agreed to separate his employment as the Company’s Chief Operating Officer, effective September 9, 2019. The Company has eliminated the position of Chief Operating Officer.
