Item 5.07 Submission of Matters to a Vote of Security
Holders.
The annual meeting of the Company’s stockholders was held on May
16, 2023 (the “Annual Meeting”). There were 327,900,847 shares of
common stock entitled to be voted, and 269,000,509 shares present
in person or represented by proxy at the Annual Meeting. The
stockholders of the Company voted on six items:

To elect eleven directors named in
the proxy statement; |

To approve, on an advisory basis,
the compensation of the Company’s named executive officers; |

To approve, on an advisory basis,
the frequency of future advisory votes on named executive officer

of (1) management’s recommendation for the annual frequency of
future advisory votes to approve named executive officer

Directors of the Company determined that future advisory votes to
approve the compensation of its named executive officers will be
held annually until the matter is again submitted to the Company’s
stockholders for a vote.
