Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

DXP Enterprises is pleased to announce the appointment of Nick Little as Chief Operating Officer, effective January 7, 2022. Mr. Little began his career with DXP nearly twenty years ago as an application engineer. During his tenure, Nick has held various roles of increasing responsibility including outside sales, Director of Operations and more recently as the Regional Vice President of Sales and Operations. In his new role he will be responsible for the execution of the strategic direction of the company and oversee sales, operations and inventory management and procurement of the business. He holds a Bachelor of Business Administration in Finance from Baylor University.

Also effective January 7, 2022, Paz Maestas was appointed Chief Marketing Officer and Chief Technology Officer. Mr. Maestas, age 42, has been with DXP Enterprises, Inc. since 2002 and leads the Company’s e-commerce and Omni-Channel initiatives. In his 20 years with DXP, he has served in various roles and most recently as Vice President of Marketing and Vice President of Operations. He holds a Bachelor of Science in Computer Science from the University of Texas at Austin.

On January 11, 2022, the Company issued a press release announcing the appointment of Mr. Little and Mr. Maestas. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
