Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 6, 2023, the Company formalized the departure of Jerry Don Jones, the President of the Company’s subsidiary Fulton Technologies, Inc. (“Fulton”). Mr. Jones is leaving to pursue other business opportunities outside the wireless industry. Mr. Jones’ last day with Fulton will be October 13, 2023. Mr. Joe Hart, the Company’s Chief Executive Officer, will assume the duties of the President of Fulton on an interim basis until a new President is selected.
