The purposes of this meeting are as follows:

1.        the election of four directors;

2.        the ratification of the appointment of Cherry Bekaert LLP as our independent registered public accounting firm;

3.        To approve an amendment to our articles of incorporation, as amended, at the discretion of the board of directors, to effect a reverse stock split of our issued and outstanding shares of common stock, at a specific ratio, ranging from one-for-twenty (1:20) to one-for-fifty (1:50), at any time prior to the one-year anniversary date of the annual meeting, with the exact ratio to be determined by the board; and

4.        any other business as my properly come before the meeting.

The board of directors has fixed the close of business on December 28, 2022 as the record date for the determination of shareholders entitled to receive notice of the Annual Meeting and to vote the shares of our common stock, par value $.001 per share, they held on that date at the meeting or any postponement or adjournment of the meeting.
