Other Information

On October 27, 2020, the registrant announced that its board of directors approved the company’s plan to spin off its Solar Juice Co., Ltd. subsidiary through an initial public offering and that the registrant has entered into a settlement deed with the minority stockholders of Solar Juice Pty Ltd, the registrant’s 80% owned subsidiary in Australia. Copies of the settlement deed and the press release are attached hereto as exhibits 10.1 and 99.1.
