Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 25, 2020, Mr. Assi Ginzburg notified Delek US Holdings, Inc. (the “Company”) that he will be leaving his role as Executive Vice President and Chief Financial Officer on or around May 5, 2020 to pursue other opportunities. Mr. Ginzburg will continue to serve as CFO until May 2020 to ensure a smooth transition. Mr. Ginzburg’s decision to leave the Company was not a result of any disagreement with the Company or its management on any matter relating to the Company’s operations or practices.

The Company has initiated a search to find a replacement CFO.

On February 25, 2020, the Company issued a press release announcing the departure of Mr. Ginzburg. A copy of the press release is attached as Exhibit 99.1.
