Subject to continued service, the restricted stock units will vest based on the achievement of total shareholder return of NorthStar Realty Europe Corp. ("NRE") from March 1, 2018 through the earlier of February 28, 2021 or the date of a change of control of NRE. To the extent earned, the restricted stock units will be settled in shares of common stock of NRE. These restricted stock units will expire and cease to exist following settlement.
