Item 1.01 Entry into a Material Definitive Agreement.

On June 12, 2019, American Resources Corporation (“ARC” or the “Company”) amended its Warrants C-1, C-2, C-3, and C-4 (collectively, the “Warrant Cs”) that were issued on October 4, 2017 to Golden Properties Ltd as part of a series of loans made by Golden Properties Ltd in favor of the Company. The amendment to the Warrant Cs was negotiated between the Company and Golden Properties Ltd to reflect the additional loans made by Golden Properties beyond what the original agreement required.
