Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

(a) On
December 13, 2017, the Board of Directors (the Board) of General Motors Company (the Company) approved amendments to the Companys Bylaws (the Amended and Restated Bylaws), which became effective
immediately. The amendments include (i) eliminating the description of the standing committees of the Board and (ii) certain other administrative clarifications and refinements.
The foregoing description of the amendments to the Amended and Restated Bylaws is qualified in its entirety by reference to the text of the
Amended and Restated Bylaws, filed as Exhibit 3.1 to this report and incorporated herein by reference.
