On August 14, 2017, Ekso Bionics Holdings, Inc. (the "Company") issued a press release announcing the commencement of a pro rata offering (the "Rights Offering") of rights to holders of the Company's common stock and certain holders of warrants issued by the Company, as of the record date of August 10, 2017, to subscribe for up to an aggregate of 34,000,000 shares of common stock. Each subscription right included a basic subscription right, which entitled its holder to purchase 1.1608 shares of common stock at a subscription price of $1.00, and an over-subscription right, which entitled its holder to purchase up to 1.1608 shares of common stock at a subscription price of $1.00, subject to the availability and pro rata allocation of shares among rights holders exercising their over-subscription rights.
