On August 14, 2017, Vuzix Corporation (the “Company”)
closed its previously disclosed securities purchase agreement, dated August 9, 2017, with the purchasers set forth on the signature
pages thereto, for the purchase and sale of an aggregate of 1,500,000 shares of the Company’s common stock in a registered
direct offering at a purchase price of $5.75 per share.
