Item 8.01

Other Events.

 

On May 31, 2016, Zion Oil & Gas, Inc. (the “ Company ”) filed with the Securities and Exchange Commission (the “ SEC ”) the Prospectus Supplement dated May 31, relating to a “best efforts” offering of the Company’s 12% Convertible Senior Bonds (in a minimum aggregate amount of $2,500,000 up to a maximum amount of $12,000,000 (the “ Offering ”). The Offering was scheduled to and did terminate on October 31, 2016.

 

The minimum aggregate amount of $2,500,000 was not reached in the Offering as of the scheduled termination date. Accordingly, all escrowed proceeds will be returned to the respective subscribers, without interest or deduction.
