The complaint alleges throughout the Class Period Express
Scripts failed to disclose and/or misled investors as to the true
state of the Company's relationship and contract with client
Anthem, Inc. On January 12, 2016,
Anthem threatened to terminate its relationship with Express
Scripts unless it renegotiated an agreement that would deliver more
than $3 billion in annual savings to
Anthem. Then on March 21, 2016,
Anthem initiated legal action against Express Scripts, alleging
that the Company breached its contract by failing to negotiate drug
pricing terms in good faith. The complaint revealed a conflict
between Express Scripts and Anthem dating back to at least
February 2015.
