                                 EGM Statement



Leisure & Gaming plc (the 'Company') is pleased to announce that all of the
resolutions proposed at the Company's EGM held at 10.30 a.m. this morning were
duly approved by Shareholders.


It is expected that the Placing Shares and the Initial Consideration Shares will
be admitted to trading on AIM, and that the Nine.com Acquisition and the English
Harbour Acquisition will be completed, on 6 December 2005.


Unless the context otherwise requires, terms defined in the Company's
announcement released on 11 November 2005 shall bear the same meaning in this
announcement.
