Suspension of
Trading
The Board of Enables IT Group Plc (“Enables IT” or the
“Company”) announces that, further to the announcement made on
20 July 2015 and pursuant to the
terms of the Scheme, trading in Enables IT Shares on the London
Stock Exchange’s AIM Market has been temporarily suspended with
effect from 7:30am today.
The Scheme remains conditional upon, amongst other things in
accordance with its terms, Court approval being obtained at the
Scheme Court Hearing, which is expected to take place today.
Subject to the Court sanctioning the Scheme, the Scheme is expected
to become effective today.
Application has been made for the cancellation of admission to
trading in Enables IT Shares on the London Stock Exchange’s AIM
Market and, subject to the Scheme becoming effective, cancellation
is expected to take effect at 8:00
a.m. on 24 July 2015.
Unless otherwise stated, defined terms used in this announcement
have the same meanings as those used in the Scheme Document
published on 26 June 2015.

Opening Position Disclosure must instead make a Dealing

If two or more persons act together pursuant to an agreement or
understanding, whether formal or informal, to acquire or control an
interest in relevant securities of an offeree company or a
securities exchange offeror, they will be deemed to be a single
person for the purpose of Rule 8.3.
Opening Position Disclosures must also be made by the offeree
company and by any offeror and Dealing Disclosures must also be
made by the offeree company, by any offeror and by any persons
acting in concert with any of them (see Rules 8.1, 8.2 and
8.4).
