                             Director Shareholding



On 29 December 2006 as a result of the allotment of 4,976 Ordinary Shares to the
Cardpoint plc UK Employee Benefit Trust, pursuant to the Cardpoint plc Share
Incentive Plan (an all employee share purchase plan approved by Her Majesty's
Revenue and Customs) (the "SIP"), Robin Gregson and Peter Smyth, as directors of
Cardpoint Trustees Limited, the trustee of the SIP, increased their notifiable
interest to 103,251 Ordinary Shares in the capital of the Company.
