                           Voting Rights and Capital


In conformity with the Transparency Directive's transitional provision 6, the
Board of Cardpoint would like to notify the market of the following:

Cardpoint plc's issued share capital consists of 111,842,463 ordinary shares of
5p each. Of this total, no ordinary shares are held in treasury.

Therefore, the total number of voting rights in Cardpoint is 111,842,463. This
number may be used by shareholders as the denominator for the calculations by
which they will determine if they are required to notify their interest in, or a
change to their interest in, Cardpoint plc under the FSA's Disclosure and
Transparency Rules.
