Poplar HARCA Capital Plc (the Issuer)

GBP140,000,000 4.843 per cent. Secured Bonds due 2043 (the Bonds)

Dated 5 August 2020

On 25 July 2013 the Issuer issued GBP140,000,000 in principal amount of the Bonds (the Original Bonds).

The Issuer has yesterday executed a Forward Purchase Agreement for the sale of an additional GBP25,000,000 in principal amount of bonds to be consolidated and form a single series with the Original Bonds on a deferred basis (the New Bonds). It is expected that the Issuer will issue the New Bonds and the proceeds of sale will be received on 30 October 2020.
