Item 1.01 Entry into a Material Definitive Agreement.
On January 31, 2020, CARBO Ceramics Inc. (the “Company”), Wilks Brothers, LLC, as administrative agent (the “Administrative Agent”) and a lender, and the other lenders party thereto entered into a Waiver to Credit Agreement (the “Waiver”), amending the Amended and Restated Credit Agreement, dated as of March 2, 2017 (as amended, the “Credit Agreement”), by and among the Company, the Administrative Agent and the other lenders party thereto (collectively, with the Administrative Agent, the “Lenders”). Pursuant to the Waiver, the Lenders have agreed to waive any default or event of default that may arise in connection with the non-payment by the Company of certain obligations.
