Explanation of Responses:
( 1)  Reflects the settlement of restricted stock units granted on May 17, 2006. Each restricted stock unit represents a contingent right to receive one common share of R.G. Barry Corporation (the "Company"). The restricted stock units were settled in common shares of the Company on a 1-for-1 basis.
( 2)  Twenty percent of these restricted stock units may have vested on August 15th of 2007, 2008, 2009 and 2010, if the Company met certain performance goals. Subject to earlier vesting upon the satisfaction of performance goals, the restricted stock units vested in full on May 17, 2011, the fifth anniversary of the awared grant date.
